Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Is It Up ("we", "us", "our"). By using our website or hosted service (the "Service"), you agree to these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation and "you" refers to both you and the organisation.

1. The Service

Is It Up periodically sends HTTP(S) requests to URLs you configure and records the responses. It can optionally notify you when a monitor transitions to a failing state through the channels you set up. We may add, change, or remove features over time.

2. Accounts

You must provide accurate account information and keep your login credentials safe. You are responsible for all activity that happens under your account and for the actions of any teammates you invite. Notify us immediately if you suspect unauthorised access.

3. Acceptable use

You agree not to:

  • Use the Service to monitor URLs or endpoints you do not own or do not have permission to monitor, in a way that violates the target's terms of service, an applicable acceptable-use policy, or any law.
  • Use the Service to perform load testing, denial-of-service attacks, or security probing against systems you are not authorised to test.
  • Attempt to reverse engineer, disrupt, or interfere with the Service or the accounts of other users.
  • Upload unlawful, infringing, or malicious content, or use the Service to send spam or unsolicited alerts.

We may suspend or terminate accounts that violate these rules, with or without notice, to protect other users and the Service.

4. Plans, billing, and refunds

Paid plans are billed in advance, either monthly or annually depending on what you choose at checkout. Fees are non-refundable except where required by law. You can cancel any time from the billing portal; cancellation takes effect at the end of the current billing period. Downgrading a plan may reduce the caps on monitors, seats, or retention; we will keep the data until you need it or until retention expires, but we will stop running checks beyond your new limits.

We may change prices with at least 30 days' notice. If the price of your current plan goes up, you can cancel before the change takes effect.

5. Your content

You retain ownership of the monitor configurations, workspace names, and other content you submit ("Your Content"). You grant us a non-exclusive, worldwide licence to host, process, and display Your Content solely so we can provide the Service and improve it. We claim no ownership of Your Content.

6. Our content

The Service, including the software, documentation, trademarks, and dashboards, is owned by us or our licensors. These Terms do not grant you any rights to our trademarks or brand. You may not copy or redistribute the software except as permitted by an explicit open-source licence.

7. Third-party services

The Service may link to or integrate with third-party services (for example, Mailgun, Stripe). Those services are governed by their own terms and privacy policies. We are not responsible for the availability or behaviour of third-party services.

8. Availability and support

We work to keep the Service available and accurate, but we do not guarantee uninterrupted or error-free operation. Scheduled maintenance, third-party outages, or network issues may occasionally affect checks. Free-plan support is provided on a best-effort basis; paid plans receive the support described on the pricing page.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT EVERY CHECK WILL REPRESENT THE TRUE STATE OF YOUR ENDPOINT OR THAT ALERTS WILL ALWAYS BE DELIVERED ON TIME.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnity

You agree to defend and indemnify us against third-party claims arising from your use of the Service in violation of these Terms or applicable law, or from content you submit.

12. Termination

Either party may terminate these Terms at any time. You can cancel your account from the dashboard or the billing portal. We may suspend or terminate your account for breach, non-payment, or if we stop offering the Service. On termination, sections that by their nature should survive (such as ownership, disclaimers, and limits of liability) will survive.

13. Changes to these Terms

We may update these Terms from time to time. If the changes are material, we will notify you in advance. Continued use after the effective date means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. The exclusive forum for disputes is the state or federal courts located in Delaware.
